Director of Contracts Administration:

Essential Duties:
  • Participates in the development of bid strategies negotiates and develops agreements with partners, subcontractors and team members with the assistance of Corporate Counsel
  • Advises the Senior Vice President and General Counsel on Government contracts and compliance issues
  • Ensures compliance with the Federal Acquisition Regulations (FAR), the Defense Federal Acquisition Regulation Supplement (DFARS), other Agency FAR Supplements, and relevant flow down requirement from federal, state and local Government funded contracts
  • Oversees the administration and maintenance of compliance and Government contract compliance systems and controls, including but not limited to; written standards, policies and procedures, monitoring, and education and training
  • Analyzes unique requirements and assesses areas of risk
  • Advises and provides guidance to assist management with Government contracts compliance efforts
  • Drafts and reviews written Government contracts compliance standards, policies and procedures
  • Conducts Government contract compliance and other compliance related risk assessments
  • Assists with Government contracts compliance monitoring and internal audits, prepares audit reports, conducts audit follow ups, implements audit corrections
  • Conducts Government Compliance reviews of Requests for Proposal (RFPs) and Solicitations
  • Prepares government and non-government related contracts for review, approval, and use by SVP & General Counsel, including, buy-sell agreements, leases, commercial contracts, non-disclosure agreements, teaming agreements, joint venture agreements, license agreements and consulting agreements
  • Maintains business registrations and files annual reports in appropriate jurisdictions
  • Maintains records of company intellectual property and correspondence with IP counsel
  • Participates in legal and government compliance due diligence on acquisition targets, including reviewing documents, identifying issues, and drafting due diligence memoranda
  • Assists with renewal of company insurance policies
Education and Experience:
  • Bachelor s Degree; Masters degree or certificate in supply chain management, contract management or other formal education related to law, government contract compliance or corporate compliance a plus
  • Expertise in Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations Supplement (DFARS) and other Agency FAR Supplements required
  • 15 years related experience and or training, or equivalent combination for education and experience
  • Experience and proficiency with online legal research tools, including internet sites and either Westlaw or Lexis is required
  • Mergers and acquisitions experience preferred
